📢 Upcoming Workshop: Drafting and Negotiating Tax Provisions in M&A Transactions β Pitfalls to Avoid

Temple Tax Chambers is pleased to announce a one-day, in-person workshop led by Jivaan Bennett, focusing on one of the more complex and commercially significant aspects of corporate acquisitions — tax provisions in private M&A deals.
Drawing on his experience as both a transactional lawyer and litigator, Jivaan will also explore the issues that frequently give rise to disagreements — including the frequently contested provisions within SPAs and tax covenants that can ultimately lead to litigation or arbitral proceedings.
Designed for junior to mid-level tax and corporate solicitors (NQ–4PQE), this small-group, tutorial-style workshop is highly practical. Participants will work through real-world examples and exercises covering:
βοΈ The architecture and interpretation of key tax provisions in SPAs and Tax Deeds
π§Ύ Common drafting pitfalls and best practice
π€ Negotiation strategy and commercial dynamics
π Cross-border and W&I/tax policy considerations (with input from Leon Mixios of Marsh)
